1. Acceptance of Terms

By accessing and using the Inventory Count App ("the Service"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, please do not use the Service.

2. Ownership and Intellectual Property

The Inventory Count App is the exclusive property of Orbit Wave LLC. All rights, title, and interest in and to the Service, including all associated intellectual property rights, are and will remain the exclusive property of Orbit Wave LLC.

This includes, but is not limited to:

• Source code, object code, and software architecture
• User interface, design, and visual elements
• Documentation, manuals, and instructional materials
• Trademarks, service marks, trade names, and logos
• All improvements, modifications, and derivative works

3. License Grant

Subject to your compliance with these Terms, Orbit Wave LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes only.

3.1 License Restrictions

You agree NOT to:

• Copy, modify, or create derivative works based on the Service
• Reverse engineer, decompile, or disassemble the Service
• Rent, lease, loan, resell, sublicense, distribute, or otherwise transfer the Service
• Use the Service for any illegal or unauthorized purpose
• Remove, alter, or obscure any proprietary notices
• Attempt to gain unauthorized access to the Service or its systems

4. "AS IS" Disclaimer

Orbit Wave LLC explicitly disclaims all warranties, including but not limited to:

• Merchantability: The Service is fit for any particular purpose
• Non-Infringement: The Service does not violate third-party rights
• Accuracy: Data and information provided through the Service
• Reliability: Uninterrupted, timely, secure, or error-free operation
• Data Integrity: Loss, corruption, or security of data

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORBIT WAVE LLC SHALL NOT BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Business interruption or loss of use
• Cost of substitute goods or services
• Damages arising from use or inability to use the Service

This limitation applies regardless of the legal theory (contract, tort, negligence, or otherwise) and even if Orbit Wave LLC has been advised of the possibility of such damages.

6. User Responsibilities

You are solely responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Ensuring the accuracy of data you enter into the Service
• Maintaining backup copies of your data
• Compliance with all applicable laws and regulations
• Your use of the Service in accordance with these Terms

7. Data and Privacy

By using the Service, you acknowledge and agree that:

• Orbit Wave LLC may collect and store data related to your use of the Service
• You are responsible for maintaining your own data backups
• Orbit Wave LLC is not responsible for any data loss or corruption
• Data security cannot be absolutely guaranteed
• You must comply with all applicable data protection laws

8. Account Termination

Orbit Wave LLC reserves the right to:

• Suspend or terminate your account at any time, with or without cause
• Refuse service to anyone for any reason
• Modify or discontinue the Service without notice
• Remove or delete any data associated with terminated accounts

9. Modifications to Terms

Orbit Wave LLC reserves the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms. It is your responsibility to review these Terms periodically.

10. Indemnification

You agree to indemnify, defend, and hold harmless Orbit Wave LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Orbit Wave LLC is registered, without regard to its conflict of law provisions.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

13. Entire Agreement

These Terms constitute the entire agreement between you and Orbit Wave LLC regarding the Service and supersede all prior agreements and understandings.

14. No Warranty Period

The Service is provided without any warranty period. No representations or warranties are made regarding the results that may be obtained from the use of the Service.

15. Updates and Maintenance

Orbit Wave LLC may perform updates, maintenance, or modifications to the Service at any time, which may temporarily disrupt access. We are not liable for any interruption of service.
